By accessing or using NexArt (the "App"), operated by GoodApp ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

2. Description of Service

NexArt is an AI-powered image generation application that provides features including but not limited to text-to-image generation, face swap, smart erase, AI avatar creation, and related image editing tools. The service is available on mobile platforms and through our web interface.

3. User Accounts

• You must create an account to access certain features of the App.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and complete information when creating your account.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.

4. Credits and Payments

• Certain features of the App require credits, which may be purchased or earned through the App.
• Credits are non-transferable and non-refundable unless required by applicable law.
• We reserve the right to modify credit pricing and consumption rates at any time with reasonable notice.
• New accounts receive a limited number of free credits for trial purposes.

5. User Content

• You retain ownership of the images and content you upload to the App ("User Content").
• You grant us a non-exclusive, worldwide, royalty-free license to process your User Content solely for the purpose of providing the App's services to you.
• AI-generated content created through the App may be used by you for personal or commercial purposes, subject to applicable laws.
• You are solely responsible for ensuring your User Content does not violate any third-party rights.

6. Prohibited Uses

You agree not to use the App to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Create deepfake content intended to deceive, defraud, or harm others.
• Generate content that exploits or harms minors in any way.
• Produce content that infringes on intellectual property rights of others.
• Attempt to reverse engineer, decompile, or disassemble the App or its underlying AI models.
• Use automated systems or bots to access the App without our written permission.
• Circumvent any access controls, rate limits, or security measures.

7. Intellectual Property

The App, including its design, features, code, and AI models, is owned by GoodApp and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the App without our prior written consent.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE APP.

10. Termination

We may suspend or terminate your access to the App at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use the App will immediately cease, and any unused credits may be forfeited.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the App or by sending a notification. Your continued use of the App after such changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GoodApp operates, without regard to its conflict of law provisions.
